Terms of Service
1. Introduction and Acceptance
Welcome to ModKie ("ModKie", "we", "us", or "our"). ModKie is operated by the legal entity identified on our About Us page or available upon request at [email protected]. These Terms of Service ("Terms") govern your access to and use of our AI API platform at modkie.com, including the model market, Playground, API Hub, unified jobs API (createTask / recordInfo), OpenAI-compatible gateway, training, and deployment features (the "Service").
By creating an account, purchasing credits or a subscription, or otherwise using the Service, you confirm that you: (a) are at least 18 years of age; (b) have read, understood, and agree to be bound by these Terms; (c) agree to our Privacy Policy; and (d) are authorized to enter into this agreement on behalf of yourself or any organization you represent.
Important: If you do not agree to these Terms, do not use the Service. Continued use after an update constitutes acceptance of the revised Terms.
2. Service Description
2.1 What We Provide
ModKie is a unified AI API platform. Core capabilities include open-source model deployment and inference, visual model training, and multi-provider API relay for video, image, audio, and chat workloads.
2.2 Nature of the Service
The Service is a digital SaaS product delivered over the internet. Access is granted after payment confirmation. Because of the immediate delivery nature of digital services, refunds are subject to the limits in Section 7.
2.3 Third-Party AI Models
The Service routes requests to third-party AI model and infrastructure providers (for example Kie, OpenRouter, Fal, Replicate, RunPod, and others). Performance and availability may be affected by those providers. We will use reasonable efforts to notify users of material outages when practicable.
3. Account Registration
3.1 Account Creation
You must provide accurate, complete registration information and keep it current. You are responsible for safeguarding login credentials and API keys and for all activity under your account.
3.2 Account Security
- Report unauthorized access promptly to [email protected].
- Do not share credentials with third parties.
- Keep your billing email address valid and monitored.
3.3 Business Accounts
If you register on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms.
4. Credits and Plans
ModKie primarily uses a prepaid credits system. We may also offer subscription plans that include recurring credits. Current packages, credit amounts, validity periods, and pricing are published on the Pricing page.
We may modify plan features or introduce new packages prospectively. Price changes apply to future purchases unless otherwise stated.
5. Billing and Payment
5.1 Credit Purchase Authorization
Each credit purchase is a one-time transaction. By completing checkout, you authorize ModKie to charge your selected payment method for the amount shown at checkout.
5.2 Subscription Authorization (If Applicable)
If you subscribe to a recurring plan, you authorize ModKie to charge the applicable subscription fee each billing cycle until you cancel under Section 6. We will send reasonable notice before annual renewals where required by law.
5.3 Usage Metering
- Async generation (image, video, audio, and similar): credits are pre-checked when a task is accepted; charges apply when a task completes successfully. Failed tasks are generally not charged unless otherwise stated at submission.
- LLM chat: metered by tokens or per request per published pricing.
- Training jobs: credits may be reserved or deducted at job start based on GPU tier and duration; refund rules are shown at submission.
5.4 Taxes
Prices are exclusive of applicable taxes unless stated otherwise. We will collect and remit taxes where required by law.
5.5 Payment Processors
Card and wallet payments are processed by PCI-DSS compliant providers such as Stripe, PayPal, and Creem. We do not store full payment card numbers on our servers.
6. Credit Validity and Cancellation
6.1 Credit Expiry
Purchased credits are valid for the period stated at purchase (see Pricing or your order confirmation). We will send reasonable reminders before expiry where practicable.
6.2 Subscription Cancellation
You may cancel a subscription through account billing settings or by emailing [email protected] from your registered email. Cancellation takes effect at the end of the current billing period unless otherwise stated. Separately purchased credit packs are not cancelled by subscription cancellation and remain subject to their own validity terms.
6.3 Account Termination
If your account is terminated, unused credits may be retained for a limited period as stated at purchase or in applicable law, after which they expire without refund except where required by law.
7. Refund Policy
7.1 General Rule
Consumed credits are not refundable. Digital delivery begins immediately after successful payment.
7.2 Refundable Cases
- Unused credits within 7 days: if credits purchased in the last 7 days have not been consumed, you may request a full refund.
- Duplicate charges: billing errors resulting in duplicate charges will be refunded in full.
- Statutory rights: rights granted by applicable consumer law (for example EU/UK withdrawal rights where applicable) are preserved.
7.3 How to Request a Refund
Email [email protected] with your account email, transaction ID, and reason. We aim to confirm within 2 business days and process eligible refunds within 5–10 business days to the original payment method.
7.4 Non-Refundable Cases
- Credits already consumed for successful API calls or completed jobs.
- Accounts suspended or terminated for Terms or Acceptable Use Policy violations.
- Purchases outside the 7-day unused-credit window (except duplicate billing or legal rights).
8. Billing Disputes
If you believe a charge is incorrect, contact [email protected] before initiating a chargeback with your bank. We will respond within 2 business days and aim to resolve confirmed billing errors within 5 business days.
9. AI Content and Intellectual Property
9.1 Output Ownership
Subject to these Terms and applicable law, you own outputs generated from your inputs ("Outputs") and may use them for lawful purposes consistent with Section 10 and our Acceptable Use Policy.
9.2 Input License
You grant ModKie a limited, non-exclusive license to host, process, transmit, and display your inputs solely to operate and improve the Service. We do not use your inputs to train our own models without your explicit consent.
9.3 Third-Party Models
Outputs may be influenced by third-party models and provider policies. We do not guarantee specific output quality and are not responsible for third-party model behavior.
9.4 Output Accuracy
AI outputs may be inaccurate or incomplete. You are responsible for reviewing outputs before production, legal, medical, financial, or other high-risk use.
10. Acceptable Use
Your use of the Service is governed by our Acceptable Use Policy, which is incorporated into these Terms by reference. You may not use ModKie to violate laws, infringe rights, circumvent billing or rate limits, attack infrastructure, or misuse third-party model policies.
11. Data, Privacy, and Security
Your use is subject to our Privacy Policy. Payment card data is handled by our PCI-DSS compliant payment processors and is not stored on ModKie servers. Account data is retained while your account is active and for a reasonable period after closure as described in the Privacy Policy.
12. Disclaimers and Limitation of Liability
12.1 Disclaimers
The Service is provided "as is" and "as available" without warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.
12.2 AI Content Disclaimer
AI outputs may be inaccurate, incomplete, or outdated. Do not rely on them as professional legal, medical, or financial advice without qualified human review.
12.3 Liability Cap
To the maximum extent permitted by law, ModKie's total liability for any claim arising from the Service is limited to the amount you paid to ModKie in the 12 months before the event giving rise to the claim.
13. Term and Termination
These Terms remain in effect while you use the Service. We may suspend or terminate access for material violations, fraud risk, non-payment, or legal requirements. You may delete your account by contacting [email protected]. Where we terminate for reasons other than your breach, we will provide a proportional refund of unused prepaid amounts where required by law.
14. Governing Law and Disputes
These Terms are governed by the laws applicable to ModKie's operating entity, without regard to conflict-of-law rules. Before formal proceedings, contact [email protected] to seek informal resolution.
15. General Provisions
We may update these Terms. Material changes will be posted on this page with an updated effective date and, where appropriate, notified by email at least 14 days before taking effect. If any provision is held invalid, the remainder remains in effect. These Terms together with the Privacy Policy and Acceptable Use Policy constitute the entire agreement between you and ModKie regarding the Service.
