Acceptance of Terms

These Terms of Service govern your access to and use of ModKie, including creative production tools, workflow collaboration, campaign monitoring, optimization features, APIs, and related websites or services. By accessing or using ModKie, you agree to these Terms. If you do not agree, do not use the service.

Eligibility and Accounts

You must provide accurate registration information and keep it up to date. You are responsible for safeguarding your login credentials and for all activity under your account or workspace. If you believe your account has been compromised, contact us promptly.

Use of the Service

You may use ModKie only in compliance with applicable laws, regulations, platform policies, and these Terms. You are responsible for the prompts, assets, campaign data, brand materials, and other content you upload, generate, connect, or distribute through the service.

API and Automation Use

If you use ModKie APIs or automated integrations, you must:

protect your API credentials;
stay within published or contractually agreed usage limits;
avoid abusive, disruptive, or unlawful traffic patterns;
ensure your applications and downstream use comply with these Terms.

We may suspend or limit API access to protect system reliability, security, or legal compliance.

Customer Content

You retain your rights in the content you submit to ModKie, to the extent permitted by applicable law. You grant ModKie the rights necessary to host, process, transmit, analyze, and display that content for the purpose of operating and improving the service.

You represent that you have the necessary rights and permissions for any content you upload or connect, including ad creatives, brand assets, campaign data, and third-party media.

Acceptable Use Restrictions

You may not use ModKie to:

violate laws, regulations, intellectual property rights, or privacy rights;
upload or distribute malicious code, spam, deceptive materials, or unlawful content;
interfere with service security, stability, or other users' access;
reverse engineer, bypass, or probe protected systems except where explicitly allowed by law;
use the service to support fraudulent, harmful, or misleading advertising practices.

Subscription, Billing, and Credits

Paid features may require a subscription, usage-based charges, credits, or separate commercial terms. Unless otherwise required by law or stated in writing:

fees are non-refundable once incurred;
pricing may change prospectively;
you are responsible for applicable taxes and payment obligations;
overdue or failed payments may result in service limitation or suspension.

Third-Party Services

ModKie may rely on third-party infrastructure, payment processors, analytics providers, AI model providers, and advertising-related integrations. We are not responsible for third-party services, and your use of them may also be governed by separate terms or policies.

Intellectual Property

ModKie and its underlying software, branding, interfaces, documentation, and service design are owned by ModKie or its licensors and are protected by applicable intellectual property laws. These Terms do not transfer ownership of ModKie to you.

Availability and Changes

We may update, modify, suspend, or discontinue any part of the service at any time. We do not guarantee uninterrupted availability, specific feature continuity, or permanent support for any model, provider, or integration.

Termination

We may suspend or terminate access to ModKie if we reasonably believe you violated these Terms, created legal or security risk, failed to pay required fees, or used the service in a way that could harm ModKie, users, or third parties.

Disclaimers

ModKie is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Outputs generated by AI systems may be incomplete, inaccurate, or unsuitable for your intended use, and you are responsible for review before deployment.

Limitation of Liability

To the fullest extent permitted by law, ModKie and its affiliates, officers, employees, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities arising from or related to your use of the service.
